Most recently, Roya served as SVP, General Counsel and Corporate Secretary of Pall Corporation, a NYSE-traded, Fortune 1000 / S&P 500 filtration technology company with operations in over 40 countries. She led the negotiations for the sale of Pall in September 2015 in what was then the largest industrial deal of the prior decade.
Roya previously served as SVP, General Counsel and Secretary of Rewards Network Inc. (NASDAQ: Chicago, Illinois), a digital business / financial services company, where she led the legal, compliance, human resources, and risk management functions and was a member of the executive management committee. Earlier in her career, Roya was a partner at Kirkland & Ellis in Chicago. She also has been a lecturer in law at the University of Chicago Law School, a member of its Visiting Committee, and the co-chair of its Women’s Leadership Network of New York.
A public company C-suite executive for many years, Roya has served on global executive management committees and led legal, compliance, human resources, risk management, and information security teams for public companies in business services, industrial, and life sciences markets. She has significant expertise in corporate strategy, M&A, business integration, restructuring / turnaround, and general management and has advised senior executives and boards of directors on a wide array of strategic issues. Roya has worked in an international context since 1998, having led many transactions and restructuring projects in North America, Europe, and Asia, and has advised on global alliances, intellectual property protection, EU data privacy, FCPA, and other matters that affect all global companies. She has led teams based throughout the world.
Roya is an expert in the strategic transformation of corporate law / compliance departments and in developing lawyers into leaders. She designed and implemented innovative “legal agile” operating principles aligned to company strategy, has spoken and written about these principles beginning in 2011, and is a recognized thought leader on innovation in the delivery of legal services. In recognition of these and other efforts, Roya was named a 2013 “Top General Counsel to Watch” by Corporate Board Member (NYSE / Euronext).
Roya graduated from the University of Chicago Law School with honors in 1991 and Harvard University with a bachelor’s degree, magna cum laude, in government in 1987.
