BarkerGilmore has been retained by a successful Fortune 500 Company to identify its General Counsel. This opportunity will be located in Westchester County at our client’s headquarters (30 miles from NYC and a short drive from White Plains or Stamford). The General Counsel will be part of the senior management team and will be expected to function as a key business partner while reporting directly to the CEO. The General Counsel will be responsible for providing leadership and strategic legal and business advice in the areas of corporate governance, domestic and international corporate transactions, M&A and corporate finance, capital fund raising, complex litigation management, corporate and regulatory compliance, contracts of every type, and the evaluation, selection and monitoring of outside legal counsel. The General Counsel will provide strategic advice to the senior executive leadership team on observed opportunities and strategic direction.

· Provide hands-on advice regarding all legal matters affecting the company
· Work with business counterparts to provide solutions to legal issues raised in contractual negotiations and on-going programs and develop risk mitigation strategies as appropriate
· Draft, structure, review and negotiate strategic and complex commercial agreements and corporate transactions, including highly structured partnerships and complex mergers, acquisitions and dispositions
· Advise on various issues such as regulatory compliance, privacy, antitrust and competition laws, advertising/promotional matters, corporate governance, fiduciary duty, ethics and strategic transactions
· Manage, support and design company practices, policies and oversight efforts in regulatory compliance
· Select, evaluate and manage outside counsel as needed
· While the General Counsel is currently the sole in-house attorney, he or she will manage a significant budget for outside counsel
Sarbanes-Oxley Act requirements:
Has direct responsibility for compliance with the Sarbanes-Oxley Act in matters of financial and operational controls and disclosure requirements as mandated by the Act. This includes strict adherence to the company’s Business Conduct Statement and Code of Ethics. The emphasis will be on compliance with financial procedures and protocol, internal controls, and maintaining the highest level of workplace behavior.
A minimum of 10 to 15 years of experience managing complex mergers, acquisition, other corporate transactions, and providing corporate governance advice is required. Large law firm experience combined with successful in-house experience is preferred, but not required. Experience in a heavily regulated business such as healthcare or insurance is a definite plus.
