Division Counsel - Lead Corporate Counsel (M5002)

We are working with the East Coast General Counsel of an emerging growth software company to identify a West Coast, Lead Division Counsel.  In this position, the lawyer will essentially function as the General Counsel for a highly profitable business unit.  If you have ever desired to be a General Counsel, this is an outstanding opportunity to gain all of the necessary experience. While we worked on a similar opportunity with this company in 2009, the scope of the responsibilities and compensation have been recently increased. 

Our client, a large publicly traded software and media company, seeks to add a lead lawyer for a growing, highly successful business unit located just north of Los Angeles, CA.  This is a growth opportunity supporting an energized team of extremely talented professionals who have control of the market share and are getting larger every day.  The legal team is a collegial group, comprised of successful attorneys with impressive credentials and experience.

 

The lawyer we seek will be responsible to support all corporate and commercial activities of the business unit with an emphasis on technology/software licensing, commercial contracts and litigation management.  Must be able to make sound business decisions such as determination of how much risk the company is willing to take and what is the exposure if certain events occur.

 

While this lawyer will utilize the resources of dedicated legal professionals located at HQ as well as outside counsel, our client needs an experienced lawyer who can work independently and take sole responsibility on large matters. 

 

Primary responsibilities include:

 

·         Drafting and negotiating contracts for sales, marketing and business development

·         Advising operational departments on legal issues for various business initiatives

·         Reviewing RFPs, and providing other sales support

·         Providing general legal support and counseling to corporate

 

Required Experience:

 

·         Minimum of five years of corporate and/or commercial practice in a large law firm (More experience is preferred).  

·         JD degree and state bar admission in good standing.

·         Experience with technology contracts – software is ideal!

·         Ability to assist with investigations and litigation.

·         Ability to lead a division law department and maintain positive relationships with executive management.

 

Preferred:

 

·           MBA, undergraduate business, accounting or computer science degree is a plus.

·           In-house experience is a definite asset.

·           Experience with Internet, technology licensing and/or software companies is a plus.
